Welcome to AISell.ca. These Terms of Service ("Terms") govern your access to and use of our AI-powered video outreach platform, website, and related services (collectively, the "Service"). Please read these Terms carefully before using our Service.
By using AISell.ca, you agree to these Terms. If you do not agree, please do not use our Service.
1. Acceptance of Terms
By creating an account or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
AISell.ca provides an AI-powered platform that enables users to:
- Create personalized video messages using AI voice cloning and lip-sync technology
- Send automated video outreach to prospects and customers
- Track engagement and analytics for sent videos
- Participate in a revenue sharing referral program
- Access white-label landing pages for video delivery
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use our Service. By registering, you represent that all information you provide is accurate, current, and complete.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
We are not liable for any loss resulting from unauthorized use of your account.
4. Subscription and Payment
4.1 Fees
Our Service is offered on a subscription basis at the rates displayed on our website. All fees are in Canadian dollars unless otherwise stated. Prices may change with 30 days' notice.
4.2 Billing
- Subscriptions are billed monthly in advance
- Payment is due at the start of each billing period
- We accept major credit cards and other payment methods as displayed
- Failed payments may result in service suspension
4.3 Refunds
Subscription fees are generally non-refundable. However, if you cancel within 7 days of your initial subscription and have not extensively used the Service, you may request a refund at our discretion.
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access until that date.
5. Revenue Sharing Program
5.1 How It Works
Our referral program shares revenue with users who refer new customers:
- Each subscription generates a $10 revenue pool for sharing
- The pool is split equally among all users in the referral chain
- There is no limit to the depth of the referral chain
- Earnings are calculated monthly
5.2 Payout Terms
- Minimum payout threshold: $25 CAD
- Payouts processed monthly, within 15 days of month end
- You must provide valid payment information to receive payouts
- You are responsible for any taxes on earnings
5.3 Program Rules
The following activities are prohibited and may result in forfeiture of earnings:
- Creating fake or fraudulent accounts
- Self-referrals using multiple accounts
- Misleading claims about the income opportunity
- Spam or unsolicited bulk messaging to promote referrals
6. Acceptable Use Policy
You agree NOT to use the Service to:
Prohibited Uses:
- Impersonation: Create videos that fraudulently impersonate another person without their consent
- Deception: Create misleading content intended to deceive recipients about the nature or origin of communications
- Harassment: Send threatening, abusive, or harassing messages
- Spam: Send unsolicited bulk messages in violation of anti-spam laws
- Illegal Activity: Promote or facilitate illegal activities
- Malware: Distribute viruses, malware, or harmful code
- Unauthorized Access: Attempt to gain unauthorized access to our systems
- Scraping: Use automated means to collect data from our platform
- Reselling: Resell or redistribute the Service without authorization
- Interference: Interfere with the proper functioning of the Service
7. AI Voice and Video Content
7.1 Your Responsibilities
By uploading content for AI processing, you represent and warrant that:
- You own or have obtained all necessary rights to the content
- You have consent from any individuals whose voice or likeness is used
- The content does not infringe any third-party rights
- You will use AI-generated content only for lawful purposes
7.2 Content Ownership
You retain ownership of content you upload. By using our Service, you grant us a limited license to process, store, and transmit your content as necessary to provide the Service.
7.3 AI Limitations
AI-generated content may not be perfect. We do not guarantee that AI voices or videos will be indistinguishable from human-created content. You are responsible for reviewing and approving all content before sending.
8. Intellectual Property
8.1 Our Property
The Service, including its design, features, software, and content (excluding user content), is owned by AISell.ca and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of our Service.
8.2 Feedback
If you provide suggestions, ideas, or feedback about our Service, we may use them without obligation to you.
9. Third-Party Services
Our Service may integrate with or link to third-party services. We are not responsible for the content, privacy practices, or availability of these external services. Your use of third-party services is at your own risk.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:
- The Service will be uninterrupted or error-free
- Defects will be corrected
- The Service is free of viruses or harmful components
- The results obtained from using the Service will be accurate or reliable
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AISELL.CA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Any damages arising from your use or inability to use the Service
Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless AISell.ca and its affiliates from any claims, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you create, upload, or distribute through the Service
13. Termination
13.1 By You
You may terminate your account at any time by canceling your subscription and contacting us to delete your account.
13.2 By Us
We may suspend or terminate your access to the Service at any time, with or without cause, including for:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Extended periods of inactivity
- Discontinuation of the Service
13.3 Effect of Termination
Upon termination, your right to use the Service ends immediately. We may delete your account data, including uploaded content and AI voice profiles, within 30 days of termination.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
14.2 Informal Resolution
Before filing a formal dispute, you agree to contact us at legal@aisell.ca and attempt to resolve the matter informally for at least 30 days.
14.3 Jurisdiction
Any disputes that cannot be resolved informally shall be resolved exclusively in the courts located in Toronto, Ontario, Canada.
15. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
16. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AISell.ca.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any provision does not waive our right to enforce it later.
- Assignment: You may not assign your rights under these Terms. We may assign our rights to any successor.
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
